PRIMARY DUTIES & RESPONSIBILITIES
Prepare and negotiate final agreements, including:
- Letters of intent and term sheets
- Power purchase agreements
- Purchase and sale agreements, encompassing both membership interest and asset purchase agreements
- Community solar aggregator agreements
- Community solar subscription agreements
- REC sale and trade agreements
- Interconnection agreements
- Service agreements that support project development
- Other various development and/or revenue agreements
Assist with due diligence activities related to project acquisitions, dispositions, and financings.
Provide support for federal and state programmatic compliance—under the guidance of regulatory outside counsel as applicable—that affects company assets and project companies, collaborating closely with asset management, commercial, policy, and business development teams.
Support the Financing Team by managing consents, estoppels, notices, and other project-related documents required for closing and administering financings.
Assist business teams with contract enforcement and administration, including drafting amendments and critical notices, and reviewing contracts to interpret rights, obligations, and necessary actions to safeguard contractual interests.
Support business teams in managing and resolving disputes by organizing and analyzing facts, developing arguments, proposing compromises to senior management, and coordinating with outside counsel as needed.
Oversee legal aspects of development permitting and site-specific issues as they arise, involving outside counsel when necessary.
Develop and maintain a thorough understanding of the Company Authority Matrix and Underwriting Standards related to Project Development, Execution, and Operations.
Assist with corporate governance matters, including drafting consents and resolutions.
Contribute to other legal tasks as required by circumstances.

EDUCATION & KNOWLEDGE
- Juris Doctorate from an accredited law school, showcasing a foundation in legal principles and critical thinking.
- 7 to 10 years of relevant legal experience, with expertise in laws and regulations to navigate complex issues.
LOCATION
We're considering candidates in Atlanta, GA, Chicago, IL, Houston, TX, Charlotte, NC, Washington, DC and Boston, MA. This role would be primarily remote with some occasional travel to Atlanta.
