Position Summary:
Corporate Counsel will be part of a fast-paced legal team and have responsibility for a broad range of matters including litigation, contract review and negotiation, regulatory compliance, and general corporate matters. Position requires a team player with a positive, “can do” attitude, who will take a proactive approach to addressing issues as they arise.
Essential Job Functions:
- Review and negotiate multiple types of contracts including confidentiality agreements, indemnity agreements, service agreements, software license and saas agreements, and supply agreements with minimal supervision.
- Provide timely advice to internal business clients on corporate policies and a variety of legal issues.
- Assist business clients with resolving contract and other commercial disputes that may arise.
- Manage litigation matters, perform basic litigation functions such as responding to subpoenas and administrative complaints, and supervise outside counsel.
- Provide support on basic real estate matters such as tenant estoppel certificates, SNDAs, correspondence with landlords and tenants, and review of easements.
- Conduct research on regulatory matters as needed.
- Excellent verbal and written communication skills and attention to detail required.
- Must be able to work independently and have strong time management skills.
- Proficiency with Microsoft Word and Westlaw required.
Minimum Position Qualifications:
- Juris Doctorate from an accredited law school.
- Admission to Massachusetts or other state bar.
- 5 years of relevant experience.
- Must be able to work in person at corporate headquarters 5 days a week.
- Must be able to perform the essential functions of this position with or without reasonable accommodation.
Desired Qualifications:
- Strong background in commercial contract review and negotiations.
- Prior in-house experience.
